Our opinion, filed September 28, 2000, is modified as follows:

1. On page 2 of the typed opinion, in the first sentence of the first paragraph [83 Cal. App. 4th 1283, advance report, 1st par., line 1], change the word "shareholder" to director (so the sentence reads, "By judgment, a director was given the right . . . .").

2. On page 2 of the typed opinion, in the second sentence of the first paragraph [83 Cal. App. 4th 1283, advance report, 1st par., line 3], change the word "shareholder" to director (so the sentence reads, "Dissatisfied with the corporation's compliance, the director asked the trial court . . . .").

3. On page 2 of the typed opinion, in the fourth sentence of the first paragraph [83 Cal. App. 4th 1283, 1st par., line 10], change the word "shareholder" to director (so the sentence reads, "The trial court nevertheless denied the corporation's request for a continuance, conducted a "default" contempt hearing, found the corporation in contempt, imposed a fine of $1,000, and ordered the corporation to pay the director's attorneys' fees . . . .").

4. On pages 4 and 5 of the typed opinion, in the second sentence of the last paragraph beginning on page 4 (and ending on page 5) [83 Cal. App. 4th 1284, advance report, last par., line 3], delete "On March 28" and insert "On the same day," (so the sentence reads, "On the same day, at Mr. Kaufman's request, the judge . . . .").

5. On page 5 of the typed opinion, in the first full sentence beginning in the paragraph that began on page 4, on the third line [Cal.App.4th 1285, advance report, line 2], [84 Cal. App. 4th 315h] after the word "called" insert the words "on March 28" (so the sentence reads, "When this case was called on March 28, Dr. Moore's lawyer . . . .").

6. On page 5 of the opinion, in the first full paragraph on that page, in the second sentence [83 Cal. App. 4th 1285, advance report, 1st par., lines 5-6], delete the comma and the words "with Dr. Moore's lawyer as the only witness" (so the sentence reads, "The court then went forward with the contempt hearing.").

The petition for rehearing is denied.

These modifications do not affect the judgment.
